Terms of Service

Mise Inc. — Effective Date: October 25, 2026

1. Acceptance of Terms

By accessing or using the Mise platform, website, applications, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Mise Inc., a Delaware corporation.

2. Description of Service

Mise provides AI-powered restaurant operations software marketed as the AI General Manager for restaurants. The Service prepares recurring administrative work for authorized restaurant personnel to review and approve, including:

Mise provides decision support and prepared operational outputs. Mise prepares this work. When a person you named to approve it says yes, Mise carries it out for you, including submitting payroll in your payroll system and sending vendor orders, and you authorize Mise to do so. Employment decisions and tax filings stay yours.

3. Eligibility

You must be at least 18 years old, have authority to bind your business to these Terms, and be located in the United States.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@getmise.io of any unauthorized use.

5. Voice Data and Recordings

By using the Service, you consent to the recording, transcription, and processing of voice data. You represent that you have all necessary rights and permissions to submit recordings, and that you have complied with applicable recording consent laws.

Voice recordings frequently contain employee data (names, hours, tips). You are the data controller for this data and are responsible for obtaining required consents.

6. Payroll and Financial Data

You are solely responsible for the accuracy of payroll information you submit. All calculations require your review and approval before action. Mise is a processing tool, not a substitute for your independent review.

Mise is NOT an employer of record, payroll processor, tax preparer, or financial institution. Mise does not distribute wages, file tax returns, or assume employer obligations.

You confirm that you may give Mise your employees' contact details and have Mise message them about their work for you, and you tell Mise when someone no longer works for you.

7. Access to your other systems

You authorize Mise to sign in to and use the systems you connect to it (such as your point of sale, payroll, vendor and accounting accounts) on your behalf, as your agent, to do the work you ask of it, including by automated means. You confirm you have the right to give Mise that access. Some providers' terms limit automated access. Mise works within what you authorize and stops if a provider asks, and a provider's decision to restrict your account is not something Mise controls.

8. SMS Notifications

When you start at app.getmise.io/start or text Mise, you agree to receive texts from Mise about your restaurant, including payroll, inventory, orders and account notices.

Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time. Reply HELP for help. Opt-in is not a condition of purchase.

9. Subscription and Payment

Your first 30 days are free. After that you pay the monthly price shown when you signed up or in your order form. You can cancel anytime from your billing link or by texting Mise. No refunds for partial periods. Price changes require 30 days notice.

10. Acceptable Use

You agree NOT to: use the Service unlawfully, submit false information, submit recordings obtained illegally, interfere with the Service, reverse engineer, or sublicense/resell without consent.

11. Intellectual Property and Your Data

The Service is owned by Mise Inc. You own the content you and your staff give Mise and the data Mise reads for you from the systems you connect ("Your Data").

Your own Mise. You grant Mise a license to use Your Data to provide the Service to you. Your Mise works only from your data. No other customer can see, search or reach Your Data, and your facts never appear in another customer's answers.

Mise learns from Your Data by default. You also grant Mise a worldwide, royalty-free, transferable and sublicensable license to use Your Data, including information that identifies people, recordings and messages, to develop, train and improve Mise's products and models, and for any other purpose the law allows. Mise owns what it learns and makes with it, including its models.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS." AI-GENERATED OUTPUT MAY CONTAIN ERRORS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL OUTPUT BEFORE RELYING ON IT.

13. Limitation of Liability

MISE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS, OR (B) $100.00. MISE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to indemnify and hold harmless Mise from claims arising from your use of the Service, violation of these Terms, or failure to obtain required consents.

15. Termination

You may terminate at any time. Upon termination, you have 30 days to export your data. Mise's rights in what it learned or made from Your Data under the license in section 11 survive termination.

16. Dispute Resolution

These Terms are governed by Delaware law. Disputes shall be resolved by binding arbitration (AAA Commercial Rules) in St. Petersburg, Florida. You waive the right to participate in class actions.

17. Changes to These Terms

Material changes require 30 days notice. Continued use constitutes acceptance.
